Vendor Terms

These Vendor Terms & Conditions (“Terms”) apply to all users who resell or provide access to the WhatsApp automation platform under CloudTrain / wa.cloudtrain.in.
By registering as a vendor/reseller, you agree to follow these Terms.
1. Definition of Vendor / Reseller
A vendor/reseller is a user who:
Sells SaaS access to end-customers using our platform
Manages customer subscriptions and support independently
Operates under their own brand or business identity
CloudTrain provides only the software system and technical platform.
2. Independent Business Responsibility
Vendors operate as independent business entities.
CloudTrain is not responsible for:
Pricing decisions made by the vendor
Services sold by the vendor
Business commitments made to their customers
Customer disputes or refunds
All vendor obligations to customers are the vendor’s full responsibility.
3. No Commission or Revenue Sharing
CloudTrain does not take commissions or revenue shares from vendors.
Vendors are free to:
Set their own selling prices
Retain 100% customer payments
Vendors only pay CloudTrain for their platform subscription and renewals, if applicable.
4. Platform Usage Rules
Vendors must ensure that all their customers use the platform legally and ethically.
Activities strictly prohibited for vendors and their customers:
Spam / unsolicited messaging
Fraud, scams or illegal promotions
Adult, betting, crypto, loan scams, drugs or harmful content
Hate, harassment, misleading or abusive content
Violation of Meta / WhatsApp policies
If any violation occurs under a vendor account, CloudTrain reserves the right to suspend the vendor panel without refund.
5. Account, API & Access
Vendors must protect their login credentials.
Vendors are responsible for onboarding their customers correctly.
Vendors must ensure customers use official WhatsApp Cloud API.
Vendors must not request or store customer OTPs or sensitive credentials.
Any misuse may result in account cancellation.
6. White-Label Usage
If white-label access is provided:
Vendor may use their own branding (logo, domain, brand name).
Source code ownership always remains with CloudTrain.
Vendor receives a license to use, not ownership of the software.
Source code must not be:
Resold separately
Reverse-engineered
Shared publicly or pirated
Violation results in permanent ban without refund.
7. Billing & Subscription
Vendor subscription fees to CloudTrain are non-refundable.
Subscription must be renewed on time to continue platform usage.
If subscription expires, access may be paused or removed.
Vendor must manage billing with their own customers independently.
8. Service Availability & Liability
CloudTrain aims to provide uninterrupted service; however, it is not responsible for:
WhatsApp API restrictions
Meta policy changes
Hosting/server downtime
Delivery failures or delays
Number blocking or ban due to user behaviour
Vendors hold full responsibility for content sent by them and their customers.
9. Termination
CloudTrain may suspend or terminate vendor access if:
Terms are violated
Illegal / harmful messaging is detected
Spam complaints are received
Payment is overdue
Security risks or abuse are detected
After termination, no refunds will be provided.
Data may be deleted after 30 days.
10. Amendments
CloudTrain reserves the right to update or modify these Terms at any time. Continued use of the system means the vendor accepts the updated Terms.
